Terms of Service

The agreement between you and Offli covering accounts, real-money skill challenges, prize pools, payments, and disputes.

1. Agreement to these Terms

These Terms of Service (the "Terms") are a binding agreement between you and Offli, Inc. ("Offli", "we", "us", or "our"), which operates the Offli mobile application and the offli.app website (together, the "Service"). By creating an account or using the Service, you accept these Terms, the End User License Agreement, and the Privacy Policy. If you do not agree, do not use the Service.

You must provide accurate information, keep it current, and keep your login credentials confidential. You are responsible for all activity under your account.

2. Eligibility

The Service is offered only to individuals physically located and residing in the United States. To create an account you must be at least 18 years old. To enter any challenge that has an entry fee or awards a prize, you must be at least 18 years old, or older where your state's age of majority is higher (currently 19 in Alabama and Nebraska).

Real-money (paid-entry, cash-prize) challenges are not available to residents of every state. We do not offer real-money challenges to residents of states whose gaming laws restrict paid-entry prize contests. The current list and the legal basis for it are set out in the Eligibility & State Availability disclosure, which is part of these Terms.

You may hold only one account. You agree that the residency, age, identity, and payment information you provide is true, and you authorize us to verify it, including through location and identity checks. Using the Service where it would be unlawful for you to do so is prohibited and is your responsibility.

Age verification. In addition to your age attestation at signup, we verify age through Apple's Declared Age Range service (on supported devices), which shares only an age range from your Apple Account — never your birthdate — and/or through the identity verification our payment processor (Stripe) performs when you set up payouts, which includes your date of birth. If age verification shows you are under the minimum age, your account is not eligible for real-money play and cannot withdraw funds.

3. What the Service does

Offli is a self-control competition. You choose one or more apps and a daily time limit, and you win a challenge by keeping your own usage of those app(s) at or under your limit for every day of the challenge. Compliance is verified on your device using Apple's Screen Time / Family Controls framework. Offli receives only the daily verification result for your selected apps — pass/fail and, at most, a coarse minutes reading — never your app list or what you do in any app (see the Privacy Policy for the exact data flows).

Because the outcome depends solely on your own conduct, Offli challenges are contests of skill and self-control, not games of chance (see Section 5).

4. Real-money challenges and prize pools

Real-money challenges are contests denominated in US dollars. The following terms apply to them:

• Entry fee. You pay a stated entry fee in US dollars to join a challenge. Once a challenge you have joined has started, your entry fee is committed and is non-refundable except as required by law or as expressly stated here.
• Minimum turnout. Every challenge requires a minimum number of participants (at least 5) to begin. If a challenge does not reach its minimum by its start time, it is cancelled and every participant's entry fee is automatically refunded in full to their Offli balance.
• Prize pool. The entry fees of all participants form the prize pool. Offli retains a service fee of up to 10% of the pool; for user-created challenges, a creator reward (a small stated percentage of the pool, shown before you join) is also paid to the challenge creator. The service fee and creator reward are taken only out of forfeited entries — never out of a finisher's own entry — and are reduced (down to zero) whenever forfeited entries do not cover them. The remainder is the distributable prize.
• Winning and payout. At the end of a challenge the distributable prize is divided equally among the participants who are verified eligible finishers — those who met the daily limit on every day of the challenge. A verified finisher always receives at least their full entry fee back. If every participant finishes, the service fee and creator reward are waived entirely and everyone receives a full refund of their entry; if some participants fail, their forfeited entries fund the fees and the finishers' winnings.
• Forfeiture. If you exceed your limit on any day, leave a challenge after it has started, cannot be verified for a day, delete your account mid-challenge, or are disqualified for a Terms violation, you forfeit your entry fee, which remains in the pool for the eligible finishers.
• No advantage for money. The entry fee only registers your participation. Paying more cannot change your result; the outcome is determined entirely by your own screen-time behavior.
• Prize caps. Where a state requires registration or a surety bond for prize promotions above a dollar threshold (for example, $5,000 in New York and Florida), Offli limits prize pools for participants in that state below the applicable threshold unless the required registration and bond are in place.

5. Skill, not gambling

Under US law an activity is unlawful gambling only if it combines a prize, consideration (an entry fee), and chance. Offli challenges have a prize and an entry fee, but they contain no chance: the result is decided solely by whether you keep your own app usage under your own limit, verified by Apple Screen Time. There is no random draw, no dealt outcome, no head-to-head matchmaking, and no wager against the house. Your result does not depend on any other participant — every entrant who meets the skill requirement wins.

Offli is therefore structured and operated as a skill-based accomplishment contest: a payment contingent on your own performance of a task within your own control. We nonetheless do not offer real-money entry in a small number of states whose statutes restrict paid-entry play for money even where skill controls the outcome, as described in the Eligibility & State Availability disclosure.

6. Payments, identity verification, and taxes

Entry-fee charges and prize payouts are processed by a third-party payment processor, and your use of payments is subject to the processor's terms in addition to these Terms. You authorize us and our processor to charge your selected payment method for entry fees you commit to.

To comply with applicable law and to prevent fraud, we may require identity verification (including your legal name, date of birth, and address) and location verification before you deposit funds, enter a real-money challenge, or receive a payout, and we may withhold entry or payout until verification is complete.

Withdrawals require verified age — this is a hard requirement with no exceptions. Before any withdrawal is processed, your age must be verified to meet the minimum age for your state (18+, or 19 in Alabama and Nebraska), either through Apple's Declared Age Range service or through the date-of-birth verification performed by Stripe during payout onboarding. A signup attestation alone is not sufficient to withdraw, and an account whose age verification shows it is under the minimum age can never withdraw.

Getting money out. Winnings (prizes earned from challenges) can be withdrawn to your bank account after payout setup. Deposits you have not yet entered into a challenge are always retrievable, but they are returned as a refund to the original payment method rather than as a bank payout — this is a standard fraud- and money-laundering safeguard, and it means your deposited money is never locked in. Platform-funded promotional credits (such as referral and promo bonuses) are not withdrawable or refundable; they become withdrawable only after being entered into a challenge and won back as winnings. We may limit how frequently deposits can be refunded and review accounts that repeatedly deposit and refund.

Referral and promotional bonuses. From time to time we may offer referral or promotional credits (for example, a bonus when you sign up with an invite code, or when a person you invited makes their first deposit). The amount, the conditions for earning a bonus, and when it is credited are stated in the offer; bonuses may be changed or withdrawn at any time before they are earned, are limited to one redemption per account, and may be revoked if obtained through fraud, self-referral, or multiple accounts. Bonuses are promotional credits subject to the play-through rule above.

You are solely responsible for any taxes owed on prizes you receive. Where required by law, we will collect a taxpayer identification number and issue tax forms (for example, IRS Form 1099) for net winnings at or above the reporting threshold. Chargebacks or payment reversals made in bad faith are a breach of these Terms.

7. Responsible play and self-exclusion

Offli is intended to help you reduce screen time, not to encourage excessive spending. You can set the entry-fee amounts you are comfortable with, and you can request account limits or self-exclusion at any time by contacting support@offli.app. If we reasonably believe continued play is harmful, we may limit or close your account.

8. Fair play and prohibited conduct

You agree not to tamper with or falsify Screen Time data, use jailbroken or modified devices to defeat verification, use multiple or shared accounts, use bots or automation, misrepresent your residency, age, or identity, or otherwise manipulate a challenge or the Service. You also agree not to use the Service to break the law, infringe others' rights, or harass anyone.

Violations may result in disqualification, forfeiture of entry fees, withholding of payouts, and termination of your account.

9. User content and community standards — zero tolerance

Parts of the Service display content created by users, such as challenge titles and descriptions, challenge artwork, usernames, and display names ("User Content"). You are solely responsible for the User Content you create.

Offli has NO TOLERANCE for objectionable content or abusive users. You must not create, upload, or share User Content that is unlawful, obscene, pornographic, hateful, harassing, threatening, violent, defamatory, deceptive, infringing, or otherwise objectionable, and you must not use the Service to abuse, harass, or harm other users. This is a strict, zero-tolerance policy.

• Filtering. We filter User Content for objectionable material, and we may reject, remove, or edit any User Content at any time without notice.
• Reporting. Every user can flag objectionable content directly in the app (for example, from a challenge's page). Reports come straight to our moderation team.
• Blocking. Every user can block an abusive user in the app. Blocking immediately hides that user's content from your feed and notifies our moderation team about the blocked user.
• Enforcement within 24 hours. We review reports and act on objectionable content within 24 hours of a report by removing the offending content and ejecting the user who provided it. Ejected users forfeit committed entry fees as described in Section 4 and may be permanently banned, including by device.

10. Dispute resolution; arbitration; class-action waiver

Please contact support@offli.app first; most issues are resolved quickly and informally. If we cannot resolve a dispute within 30 days, you and Offli agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered under the Consumer Arbitration Rules of the American Arbitration Association (AAA), seated in Wilmington, Delaware.

You and Offli waive the right to a jury trial and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. You may reject this arbitration agreement by emailing legal@offli.app within 30 days of first accepting these Terms; rejecting arbitration does not affect any other part of these Terms. Nothing here prevents either party from bringing an individual claim in small-claims court.

11. Governing law

These Terms are governed by the Federal Arbitration Act and the laws of the State of Delaware, without regard to its conflict-of-laws rules, except to the extent the mandatory consumer-protection or gaming laws of your state of residence apply.

12. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that verification will be uninterrupted or error-free; verification depends on Apple's Screen Time framework operating on your device.

To the fullest extent permitted by law, Offli will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability arising out of or relating to the Service is limited to the greater of the amounts you paid to Offli in entry fees in the 12 months before the claim or US $100.

13. Indemnification

You agree to indemnify and hold harmless Offli and its officers, employees, and agents from claims and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Changes and termination

We may update these Terms; material changes will be posted here with a new version date and, where they affect real-money play, will require your renewed acceptance before you continue. You may stop using the Service and delete your account at any time from Settings; deleting your account during an active real-money challenge forfeits any committed entry fee as described in Section 4.
